Interprefy Plans - Terms & Conditions

1. Application

Unless otherwise specifically agreed in writing, these Conditions shall be incorporated into every offer, quotation, acceptance, and contract for the sale of Interprefy plans and the supply of goods or services by Interprefy, and any conditions proposed by the Customer are hereby excluded. 

 
Interprefy Service Plans

Interprefy offers flexible service plans designed to meet diverse customer needs. These plans, categorized into Platform Plan, Professional Services Plan, and Interpreters Plan, grant customers a specified number of hours to be used within a 12-month period. Customers have the flexibility to utilize their plan as they prefer, either through managed delivery of the technology (via Professional Services) or on-demand usage.

  1. Platform Plans – Billed in 5-minute increments. Include access to Remote Simultaneous Interpretation (RSI), AI-powered tools, or a combination of both. Each 5-minute block started is billed as a full block.
  2. Professional Services Plans – Billed per hour. Include project management, remote support, and training services. Each hour started is billed as a full hour.
  3. Interpreter Plans – Billed per hour. Encompass the sourcing, contracting, and quality assessment of interpreters. Each hour started is billed as a full hour.

Each plan has a minimum hour's requirement, and billing is structured accordingly to ensure fair and transparent pricing for the services provided.

 2. Acceptance

All quotations are given subject to confirmation by Interprefy upon receipt of the Customer's order and no contract shall be concluded until such confirmation is given, or the Customer's order is otherwise accepted. Each order, when accepted, constitutes a separate contract. 

 3. Acceptance Period

The period during which a quote can be accepted extends up to its expiration date, as specified on the quotation.

4. Prices & Services

The prices listed in the quotation do not cover Value Added Tax (VAT) or any other taxes unless specifically mentioned. These quoted prices are guaranteed from the date of issuance and will remain unchanged for the entire duration of the agreement.

  1. Customers shall pay a fee as determined by the applicable rate for services ordered.
  2. The Interprefy Plan has a maximum validity of 12 months from the moment the customer receives their onboarding or runs the first event — whichever occurs first.
  3. Onboarding services include up to three (3) hours of onboarding support. These hours may be delivered either in one (1) session of up to three (3) hours or in three (3) separate one-hour sessions, as agreed during scheduling. Onboarding services are provided once, as part of the initial setup only.


5. Billing & Payments

By entering this agreement, the Customer commits to purchase and is therefore obligated to pay for the services bought as part of the Interprefy Plan and as per the following terms: 

  1. Base Payment
    The Customer is required to pay a Base Payment, which can be billed upfront, monthly, quarterly, or through a specified number of invoices, depending on the agreed terms. This base amount will be divided into equal installments and must be paid in advance throughout the commitment period. Except in cases where specific exceptions apply, as agreed upon by both parties in writing.
  2. Add-On Charges
    In addition to the base amount, invoices may include charges for any add-on services ordered by the Customer for meetings held in the previous period (e.g., recordings).
  3. Commitment Obligation
    The Customer is obligated to pay for the services ordered, even if they are not fully utilized by the end of the 12-month period.
  4. Payment Due Date
    Payments are due within 30 days of the invoice issuance date, unless a different arrangement has been agreed upon.
  5. Payment Methods and Fees
    1. Credit Card Payments: A 3.2% surcharge will apply.
    2. All transaction fees are the responsibility of the customer
  6. Usage Calculation
    to the nearest block. Billing begins when the first participant (Speaker, Host, or Audio Routing Panel, depending on the event setup) joins the session and ends when the last participant leaves. This approach ensures fair and transparent billing for all clients.

6. Early Termination Within the First Two Months

Early termination is permitted within the first two months of the contract. The right to terminate is contingent upon the customer having utilized the contracted plan within the above timeframe.

Financial Obligations upon Termination within first two months:

Upon termination, the customer is obligated to settle all charges incurred up to the point of termination, including:

  1.  Payment for all services provided prior to the receipt of the termination request.
  2. Any applicable charges for hours used in excess of the Plan's maximum allowance, billed at the per-hour rate specific to the customer's purchased tier.
  3. A settlement fee representing the difference between the discounted rates provided under the commitment and any standard rates that would have applied without such discounts. This fee compensates for the volume discount received under the assumption of a full commitment period.

7. Early Termination After the First Two Months

If the customer terminates the agreement after the first 2 months and before the minimum contract duration of 12 months, the customer is fully obligated to pay the full contract amount and all associated fees. Upon initiation of the termination process, both parties agree to engage in a closing procedure that includes the return of any rented equipment, final billing adjustments, and the completion of any outstanding services within the notice period.

8. Cancellation, Postponement, and Overtime Fees

The following conditions apply specifically to Interpreter’s Plan and Professional Services Plan. This outlines the fees applicable to cancellations, postponements, and overtime:

Cancellation & Postponement Fees

  • Within 24 hours: 100% of the cancelled portion, applied to platform, professional services, and interpreters.
  • Within 48 hours: 50% of the cancelled portion, applied to professional services and interpreters.
  • Within 72 hours: 25% of the cancelled portion, applied to professional services and interpreters.

Note: The same cancellation fees apply whether the contract is cancelled in part or in full

Overtime Fees

  • Overtime applies to all plans, including the Platform Plan, Professional Services Plan, and Interpreter Plan.
  • Interpreters are engaged for the agreed meeting duration. If a meeting exceeds the initial scheduled time, it will automatically trigger a new 1-hour allocation from the interpreter plan.
  • This additional hour will be deducted from the total interpreter plan balance and is subject to interpreter availability.
9. Scheduling the Meeting(s) & Surcharges (Interpreters' Plan and Professional Services Plan)
  • Meeting requests or changes to the technical setup made with at least 24 hours’ notice will be delivered as per the Terms and Conditions without any additional surcharges.
  • Meeting requests or changes made with less than 24 hours’ notice will not incur surcharge fees but will depend on the availability of interpreters and Interprefy's team.
10. Amendments to Terms

Interprefy reserves the right to amend or update these Terms and Conditions from time to time. Customers will be notified of any such changes, and the amended Terms and Conditions will become effective on the date specified in the notice. Continued use of the services after the effective date constitutes acceptance of the amended Terms and Conditions.

Amendments that materially affect an existing customer’s rights or obligations may, where required, be subject to additional acceptance.



11. Minimum Commitment & Termination of Contract 

This agreement shall commence on the effective date, defined as the date of signing the quote. The client may use the hours for a period of 12 months from the date of receiving onboarding or running the first event, whichever occurs first. Both the contract and the usage period will conclude at the end of this 12-month period.

12. Customer Responsibilities for Interprefy Services

To ensure the smooth operation and high-quality delivery of Interprefy services, customers are obliged to fulfil certain responsibilities, unless a different arrangement is agreed upon in writing. These responsibilities include:

  1. Ensuring Adequate Bandwidth and Equipment: Customers must guarantee that all participants involved in the event—including delegates, attendees, and interpreters (when provided by the Customer)—have access to sufficient internet bandwidth. This can be through Ethernet, Wi-Fi, or cellular networks. Additionally, it is crucial that participants use reliable and Interprefy-approved electronic devices, microphones, and headsets, in accordance with the guidelines provided by Interprefy.
  2. Providing Access for Service Installation and Testing: Customers are responsible for ensuring that both remote Internet access and on-site access to the event venue are provided to Interprefy well in advance. This early access is necessary for the installation and testing of Interprefy services and equipment, facilitating a seamless and efficient setup process. 
  3. Understanding the Nature of Interpretation and Captioning Services: It is important for customers to recognize that the interpretation and captioning provided during live and recorded versions of meetings or events are meant to aid in communication. These services do not create an authentic or verbatim record of the original speeches. In instances of discrepancies between the interpretation or captioning and the original speech, the words of the original speaker should be considered as the authoritative source.
  4. Supplying Preparation Materials: Customers are required to provide all necessary preparation materials for interpreters and the Interprefy AI platform. This ensures that interpreters are well-prepared and that the technology is optimized for the specific needs of the meeting or event.

13. Warranty  

Interprefy warrants that the services and equipment supplied will be in accordance with the quotation (or if other services and equipment are substituted it will not be inferior to that in the quotation).

14. Liability  

Under this agreement, Interprefy AG will have no liability or obligation to the counterparty, it is agents, subsidiaries, customers or any other related or affected party, including for loss of profits, business interruption, or any other direct or indirect costs or losses, other than to deliver the services as quoted, according to these terms and conditions. In the event of any breach of this agreement by Interprefy AG, including non or partial delivery of the quoted services, Interprefy AG’s total liability for such breach or failure shall be capped at twice the total value of this agreement.

15. Confidentiality  

Interprefy commits its employees, both in-house and subcontractors, to exercise absolute confidentiality regarding the documentation and other information contained therein, or information gained through exposure to the Client’s offices or staff. 

16. Jurisdiction  

The contract shall be governed by Swiss law. 

17. Definition  

The Client means the person, firm or company entering the contract with Interprefy AG. THESE TERMS AND CONDITIONS CAN ONLY BE VARIED WITH THE WRITTEN AGREEMENT OF INTERPREFY AG.
